Item 5.03          Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On May 30, 2012, the Company effectuated the amendment of its bylaws by submitting notice of the amendment to the Federal Reserve Bank of Chicago.  The Company's bylaws were amended to decrease the number of directors of the Company from ten to nine.
