The claims concern whether the Nobel Learning Board of Directors breached its fiduciary duties to Nobel Learning stockholders by failing to adequately shop the Company before entering into this transaction and whether Leeds Equity Partners is underpaying for Nobel Learning shares, thus unlawfully harming Nobel Learning stockholders.
