EXPLANATORY NOTE
This Post-Effective Amendment relates to the following
registration statement (“Registration Statement”) filed with the Securities and Exchange Commission on May 15, 2012 by Oconee
Federal Financial Corp., a Federal corporation (the “Registrant”).
Registration Statement on Form S-8, File No. 333-181424, registering
435,472 shares of Oconee Federal Financial Corp. common stock, par value $0.01 per share, and 311,052 stock options, all for issuance
under the Oconee Federal Financial Corp. 2012 Equity Incentive Plan.
The Registrant intends to terminate and suspend all
reporting obligations with the Securities and Exchange Commission under the Securities Exchange Act of 1934, as amended. Accordingly,
pursuant to the undertaking contained in the Registration Statement to remove from registration by means of a post-effective amendment
any of the securities that remain unsold at the termination of the offering, the Registrant hereby amends the Registration Statement by
deregistering all shares that remain unsold under the Registration Statement.
