ITEM 5.02   DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS

On October 24, 2007, Peet's Coffee & Tea, Inc. (the "Company") announced via press the election of a new Board of Director member, Libby Sartain, effective October 24, 2007. Ms. Sartain will join the Board of Directors as a Class III director to serve until the 2009 Annual Meeting.

On October 24, 2007, under the Company’s 2000 Non-Employee Stock Option Plan, Ms. Sartain received an initial grant of 17,500 options and an annual grant of 3,750 options. The options subject to the initial grant will vest on a monthly basis over the next thirty-six months. The options subject to the annual grant will vest on a monthly basis over the next twelve months.
