EXPLANATORY NOTE

This amendment No. 1 (the “Amendment No. 1”) to the annual report on Form 20-F of Q&K International Group Limited for the fiscal year ended September 30, 2019, which was originally filed with the Securities and Exchange Commission on February 18, 2020 (the “FY 2019 Annual Report”), is being filed solely for purposes of filing the Interactive Data File disclosure as Exhibit 101 in accordance with Rule 405 of Regulation S-T. Exhibit 101 was not previously filed.

This Amendment No. 1 speaks as of the filing date of the FY 2019 Annual Report on February 18, 2020. Other than as expressly set forth above, this Amendment No. 1 does not, and does not purport to, amend, update or restate the information in any other item of the FY 2019 Annual Report, or reflect any event that has occurred after the FY 2019 Annual Report was originally filed.
