Item 1.01 Entry into a Material Definitive Agreement.

On July 30, 2008, Sport Supply Group, Inc. (the "Company") entered into Amendment N0. 2 (this "Amendment") dated as of July 30, 2008, to the Amended and restated Credit Agreement dated as of October 30, 2007, as amended by Amendment No. 1 to Amended and Restated Credit Agreement dated January 7, 2008, to permit the repurchase of up to $15.0 million of its senior subordinated convertible bonds due November 2009. A copy of this Amendment is attached to this Current Report as Exhibit 10.1 and incorporated herein.

Item 7.01 Regulation FD Disclosure.

On August 1, 2008, the Company issued a press release announcing that it amended its revolving credit agreement to permit the repurchase of up to $15.0 million of its senior subordinated convertible bonds due November 2009. A copy of the press release is attached to this Current Report on Form 8-K as Exhibit 99.1 and is incorporated herein solely for purposes of this Item 7.01.
