Item 8.01. Other Events.

 

On December 16, 2024, before taking a vote at the Virtual Annual Meeting of Stockholders (the “Annual Meeting”) of Reliance Global Group, Inc. (the “Company”) on any of the proposals (the “Proposals”) presented in the Company’s definitive proxy statement on Schedule 14A, as filed by the Company with the Securities and Exchange Commission (the “SEC”) on October 31, 2024, as the same has been supplemented from time to time, the Annual Meeting was adjourned by Joel Markovits, Chief Financial Officer, acting as Chairman of the Annual Meeting, to 1:00 p.m. Eastern time on December 31, 2024, in order to allow the Company’s stockholders additional time to vote on the Proposals.

 

The reconvened Annual Meeting will be held virtually at the following link: www.virtualshareholdermeeting.com/RELI2024 at 1:00 p.m. Eastern time on December 31, 2024. Stockholders who have already voted do not need to recast their votes. Proxies previously submitted in respect of the Annual Meeting will be voted at the adjourned Annual Meeting unless properly revoked. During the period of the adjournment, the Company will continue to solicit votes from its stockholders with respect to the Proposals for the Annual Meeting.

 

The Company encourages all stockholders as of October 17, 2024 who have not yet voted, to do so.

The Company and its directors and executive officers and other employees may be deemed to be participants in the solicitation of proxies in respect of the adjourned Annual Meeting. The Company has also engaged Morrow Sodali LLC, a proxy solicitation firm, to assist management with obtaining adequate votes to achieve the required quorum of at least a majority of the outstanding shares of common stock, and to approve the Proposals.
