Item 8.01. Other Events.

On March 2, 2010, Symmetricom, Inc. (the “Company”) announced that it had completed the sale of its video Quality of Experience (QoE) business to Cheetah Technologies, L.P. of Pittsburgh, Pa. Cheetah Technologies has acquired the assets related to Symmetricom’s QoE product line for $2.25 million in cash and has hired the majority of Symmetricom’s QoE employees. The execution of a definitive agreement for the sale was announced on February 12, 2010.

A copy of the Company’s press release relating to the sale is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
