Explanation of Responses:
( 1)  The form is being amended due to omission of common shares not reported on previous Form 3.
( 2)  This line is amended due to omission of stock options not reported on previous Form 3. These non-qualified stock options shall vest and become exercisable as to one fourth (1/4th) of the total number of shares on October 31, 2013, and as to one forty-eighth (1/48th) of the total number of shares on each monthly anniversary thereafter until all such options are exercisable.
( 3)  This line is amended with respect to stock option vesting schedule. These non-qualified stock options vested and became exercisable as to one fourth (1/4th) of the total number of shares on 11/09/2010, and shall vest as to one forty-eighth (1/48th) of the total number of shares on each monthly anniversary thereafter until all such options are exercisable.
( 4)  This line is amended with respect to stock option vesting schedule. These non-qualified stock options vested and became exercisable as to one fourth (1/4th) of the total number of shares on October 29, 2011, and shall vest as to one forty-eighth (1/48th) of the total number of shares on each monthly anniversary thereafter until all such options are exercisable.
