Transmeta: How to kick a company when it's down

Last month, chip designer Transmeta (ticker: TMTA) got a letter from one of it major shareholders requesting that it consider a variety of options, such as selling itself or delisting its stock. The letter came from Riley Investment Management of Los Angeles which owned 5.9 percent of the stock at the time.

Well, let the piling-on commence. On Tuesday, two shareholders, Mark Nelson and Dana Johnson, filed a Schedule 13-D disclosing that they had spent almost $9 million acquiring Transmeta stock, giving them 5.5 percent of all shares.

But here's the bigger bummer for Transmeta: The pair used the filing to say they are on board with Riley's plan: Either sell or go dark.

Maybe the folks at Transmeta can frame those letters and hang them on the wall next to the plaque they got for recently making the Motley Fool's list of "5 Deathbed Stocks."

Don't be misled. The stock is not at a 52-week high right now. It was actually temporarily delisted a few months ago, and then reinstated with a 20:1 reverse split. I'd say it's hard to gauge the valuation of TMTA right now, given their last few quarters of earnings have been wrought with bad news. Meanwhile, I have not heard any announcements of new technology, or the-next-best-thing that's supposed to bring the company extra sources of revenue. I'd say you should only enter this stock fully informed about the company's current and future prospects, and not a moment before.

I love the technologies implications, as its usage can be very wide-ranging for semiconductor devices. However, I don’t know if the current close to 52-week highs share price is a good entry point. Any thoughts to share?

Fujitsu gives Transmeta opsteker

Fujitsu is commit will offer the first that the new 867-MHz Crusoe-processor of Transmeta in America. Sony and Fujitsu sell in Japan all source notebooks that of the processor want to make. The chip comes in the LifeBook P2000.

Transmeta had to get problems its faster processors on the market. Sony uses only the 733-MHz variant of the Crusoe TM5800-processor in its American notebooks and until now went Fujitsu not further then the 800-MHz processor that it in the LifeBook P2000-notebooks used. According to Transmeta are the notification of Fujitsu and the plans of other businesses the proof that the chip maker prevent on course lies.

Later on this year is Hewlett-Packard the first that the 1-GHz version of the TM5800 uses in the coming Compaq Computer Evo Tablet PC. Transmeta is an initiative begun that the 'Crusoe 1000' have named. The business want processors bring out with a bell speed of 1,000 MHz or more and producers help notebooks to make that less then 1,000 grams roads, less expenses then 1,000 dollar (1,056 euro) and a battery duration have of 1,000 minutes (approximately 16 hour).

The agreement will grant Intel a perpetual non-exclusive license to all Transmeta patents and patent applications, including any patent rights later acquired by Transmeta, now existing or as may be filed during the next ten years.

Transmeta will also transfer technology and grant to Intel a non-exclusive license to Transmeta's LongRun and LongRun2 technologies and future improvements.

Under the agreement, Intel will covenant not to sue Transmeta for the development and licensing to third parties of Transmeta's LongRun and LongRun2 technologies.

Q4 will show many dollars per share ($10 to 15) in earnings per share and we'll see the breakeven after the cost cuts made...I am guessing around 2 to 3 dollars earnings per share in Q1 2008 which even at a 10 PE is $20 - $30 bucks PPS

Tough to value TMTA now. It's what they do with the $150 Million next that matters.

They could announce a stock buyback to move the stock higher. Or they could pursue other patent settlements--but they really need to develop a business beyond being a "aptent bank".

we should have 2 per share in earnings 2008 - 2012

20 PE = 40 pps

2007 if paid 150 this year less expense = 12 in earnings per share at a 2 PE = 24

With 10mm shrs and AMD owning part a 150 mm cash payment , call it 12 PPS after lawyers. 20 mm afterwards 14 pps. Just in cash

Interest 9mm per year for 5 years 15 pps. All expenses are covered for 5 years.

When the market puts a pe on this 20 plus sb easy plus AMD will now roll us in.

nice post DOn, that is the beauty with these patent play..you never know when the pop could happen but in most cases if the case is strong, the infringers will usually settle I guess the Markman hearing was KEY for TMTA.. :) I hope you made some nice green on this one. Do you think there are other infringers? -Gecko

I've been in and out of this and out before the split.
I DDed the death of this and have followed market sentiment since then.
I was very aware that the industry thought the case was strong.
But with the courts, you just never know. And it could have dragged on forever, or a countersuit could have prevailed, destroying the company.
Luckily, I did make a small buy a short time back, when I thought it was at the bottom (which I was wrong on)

This suit may not be the only one this company wins BTW

GLTY some of you guys have really been through a lot holding here

Intel Settlement was, to me, expected. It was a question of time. NEC and others had already odne their due diligence and recognized and accepted that TMTA had a broad patent.

And the fact that AMD owned 7.5% of TMTA told me that they would not run out of money to pursue AMD's competitor--Intel.

I like to look at stocks that have gotten clocked and then do DD. Two weeks ago I hit SHRP for a nice return.

Another one to watch is FMDA--but trade it--do not marry it.

As luck would have it , this was only a 2 week ride for me. Only have 150 shares, thought about flipping, but I've decided to wait awhile and see what the company plans to do with the award $

What will the company do with the money ?

Maybe on the high side. Fair value is $12+,imo. The market can and will give a premium to the stock if the market believes TMTA is on solid footing moving forward with their IP. Could easily see $20+ as well back to $10-12. If the price drops down to $10-12 it is a buy,the further it falls the greater the buy below $10-12,imo. Right now it is luch time and lunch time predicates 'lunch time tactics' by the institutions trading this one. Now mind you today is a down day on the street. Imagine if the street felt all giddy like normally

Guessing between 12 -13 mil, although it could be more by a couple of mil. INTC annoucement came just in time. I figured the company was in the know and erased any viable and future potential dilutive underwriting deals for cash when they were first told of the offer from INTC.
