MONTREAL, July 20, 2016 /CNW/ - Amaya Inc.
("Amaya") today filed an updated early warning report
related to its direct and indirect holdings in NYX Gaming Group
Limited ("NYX"), as required by National
Instrument 62‑103 –The Early Warning System and Related
Take-Over Bid and Insider Reporting Issues (the "EWR").
Unless otherwise noted, all "$" amounts stated herein are in
Canadian dollars.
As previously disclosed, on May 18,
2016, Amaya acquired 5,454,546 special warrants of NYX
("Special Warrants"), each being exercisable into one
ordinary share of NYX (each, an "Ordinary Share") and
one-quarter of one Ordinary Share purchase warrant of NYX (each, a
"Warrant"). Each Warrant is exercisable into the same number
of Ordinary Shares. The Special Warrants held by Amaya were
acquired by it in connection with NYX's acquisition of OB Topco
Limited ("OpenBet").
As publicly announced by NYX on July 15,
2016, the automatic exercise of all 54,550,000 Special
Warrants issued by NYX in connection with the OpenBet acquisition
is deemed to have occurred at 5:00 p.m.
(EDT) on July 20, 2016 without
payment of any additional consideration by the holders thereof (the
"Automatic Exercise"). The Automatic Exercise resulted in
Amaya acquiring, through no further action on its part or payment
of any additional consideration, beneficial ownership of 5,454,546
Ordinary Shares and 1,363,636 Warrants. Notwithstanding, the
Automatic Exercise resulted in a decrease in Amaya's deemed
securityholding percentage in the Ordinary Shares to 15.71% on a
partially diluted basis (assuming the exercise or conversion of all
securities of NYX and its subsidiaries held by Amaya and on the
basis of 105,184,896 Ordinary Shares issued and outstanding, as
disclosed in NYX's short form prospectus filed on July 14, 2016).
Amaya holds the securities of NYX for investment purposes. Amaya
may, depending on market and other conditions and subject to
applicable securities laws, change its beneficial ownership of (or
control or direction over) any of the securities of NYX or its
affiliates, whether in the open market, by privately negotiated
agreements, or otherwise.
