This Current Report on Form 8-K updates Items 6, 7 and 8 of the Annual Report on Form 10-K (the “2015 Form 10-K”) of
United Online, Inc. (the “Company”)
for the year ended December 31, 2015, which was filed with the Securities and Exchange Commission (the “SEC”) on March 3, 2016, to
reflect the impact of our former MyPoints business unit and international social networking businesses as discontinued operations.
Set forth in Exhibit 99.1 attached hereto are updated consolidated financial statements and selected financial information with respect to the operations of the Company, as well as Management’s Discussion and Analysis of Financial Condition and Results of Operations for the periods presented.
The information in this Form 8-K does not reflect events or disclosures occurring after the filing of the Company’s 2015 Form 10-K and does not modify or update the disclosures therein, except to the extent expressly provided above.
