Item 1.01 Entry into a Material Definitive Agreement.

 

On July 9, 2024, New Horizon Resources LLC, a wholly-owned subsidiary of U.S. Energy Corp. (the “Company”, “we” and “us”), entered into a Purchase and Sale Agreement (the “Purchase Agreement”) with Warwick-Artemis, LLC (“Warwick-Artemis”). Pursuant to the Purchase Agreement, we agreed to sell oil and gas producing properties, including all oil and gas leases, wells and facilities, associated therewith located in Karnes County, Texas (the “Property”).

 

The Purchase Agreement includes an effective date of April 1, 2024, a purchase price of $6 million, subject to certain customary true-up rights for post-closing true ups for operating costs, taxes, and revenues prior to the effective date, and required Warwick-Artemis to pay us a deposit of 10% of the purchase price ($600,000)(the “Deposit”).

 

If the closing occurs, the Deposit is to be applied towards the adjusted purchase price. The Company may terminate the Purchase Agreement if (i) Warwick-Artemis is in breach of any of its covenants, representations, and warranties contained therein and such breach would have a material adverse effect; or (ii) if the closing does not occur as provided in the Purchase Agreement, assuming that failure to close by such date is not the fault of the Company and the Company stands, ready, willing, and able to close, and if the Company is not then in breach of its representations and warranties contained therein, then the Company may retain the Deposit as liquidated damages in lieu of all other damages and as the Company’s sole remedy in such event, and neither party shall have any further obligation to the other party. Warwick-Artemis may terminate the Purchase Agreement if (i) the Company is in breach of any of its covenants, representations, and warranties contained therein and such breach would have a material adverse effect; or (ii) if the closing does not occur as provided in the Purchase Agreement, assuming that failure to close by such date is not the fault of Warwick-Artemis and Warwick-Artemis stands, ready, willing, and able to close, and if Warwick-Artemis is not then in breach of its representations and warranties contained therein, then Warwick-Artemis may obtain a refund of the Deposit as liquidated damages in lieu of all other damages as Warwick-Artemis’s sole remedy in such event, and neither party shall have any further obligation to the other party.

 

The Company agreed to operate the Property in the ordinary course prior to the earlier of termination of the Purchase Agreement and the closing.

 

The Purchase Agreement includes customary representations and warranties, disclaimers and indemnification obligations, subject to certain minimum thresholds and caps (including limiting the liability of either party to no more than 40% of the aggregate purchase price), consistent with a transaction of the size and type of the acquisition, provides the parties thereto with specified rights and obligations and allocates risk among them in a customary manner.

 

The transaction, which is subject to customary closing conditions, is expected to close on or around July 31, 2024.

 

The Purchase Agreement contains representations, warranties and other provisions that were made only for purposes of the Purchase Agreement and as of specific dates and were solely for the benefit of the parties thereto. The Purchase Agreement is a contractual document that establishes and governs the legal relations among the parties thereto and is not intended to be a source of factual, business or operational information about the Company or Warwick-Artemis or the assets to be acquired from the Company. The representations and warranties made by the Company and Warwick-Artemis in the Purchase Agreement may be (i) qualified by disclosure schedules containing information that modifies, qualifies or creates exceptions to such representations and warranties and (ii) subject to standards of materiality applicable to the contracting parties that differ from those applicable to investors. Accordingly, investors and security holders should not rely on such representations and warranties as characterizations of the actual state of facts or circumstances.

Item 8.01 Other Events.

 

As previously disclosed in the Current Report on Form 8-K filed by the Company with the Securities and Exchange Commission on July 1, 2024 (the “July 1st Form 8-K”), management plans to hold a conference call on Wednesday, July 10, 2024, at 10:00 a.m. ET/9:00 a.m. CT to discuss the completion of a recent acquisition and the entry into a letter of intent (each as discussed in greater detail in the July 1st Form 8-K) and to conduct a question-and-answer session in connection therewith.

 

On July 9, 2024, the Company filed a press release disclosing the entry into the Purchase Agreement, and certain other matters, a copy of which is attached hereto as Exhibit 99.2, which is incorporated by reference into this Item 8.01 in its entirety. Additionally, because of the effects from Hurricane Beryl, the Company announced it rescheduled its previously announced conference call from Wednesday, July 10, 2024, to Wednesday, July 17, 2024, at 10:00 a.m. ET/9:00 a.m. CT.

U.S. Energy Corp. Announces Entry Into Binding Agreement For Asset Sale

For South Texas Properties

 

 

HOUSTON, Texas, July 9, 2024 — U.S. Energy Corporation (NASDAQ: USEG, “U.S. Energy” or the “Company”) today announced that the Company has executed definitive documents (the “Transaction”) for the sale of assets located in South Texas (the “South Texas Assets”). The Transaction is subject to customary conditions to closing and the Transaction may not close on a timely basis, or at all.

 

HIGHLIGHTS

 

 

All cash proceeds of approximately $6.5 million.

 

 

Proceeds are expected to be used to fund development of U.S. Energy’s recently announced acquisition targeting helium assets (“Recent Acquisition”) and repay outstanding debt.

 

 

Divested assets averaged approximately 155 barrels of oil equivalent per day (85% oil) from January-March 2024, or 13% of U.S. Energy’s total production over the same period.

 

 

The transaction will have an effective date of April 1, 2024, and is expected to close by July 31, 2024.

MANAGEMENT COMMENTARY

 

“We are pleased to announce U.S. Energy’s recent Transaction, which will represent the complete divestment of the Company’s assets in South Texas,” stated Ryan Smith, Chief Executive Officer of U.S. Energy Corp., who continued, “With proceeds expected to go directly towards the development of the Company’s Recent Acquisition, combined with a portion of conservative debt reduction, we anticipate that following the closing of the Transaction, U.S. Energy will sit in a position of increased liquidity and balance sheet strength across all measures. The assets to be divested represent an immediate realization of long-term value with a highly accretive use of proceeds that is expected to allow the Company to realize additional corporate overhead savings by exiting a geographic area of operations. This Transaction is consistent with the active management of our asset portfolio, and we will continue to look for opportunities to exit assets that are unlikely to compete for capital or to monetize non-focus assets at attractive prices.”

 

 

SOUTH TEXAS ASSETS

 

U.S. Energy has agreed to sell the entirety of its South Texas Assets located in Karnes County, Texas to two separate private buyers. The South Texas Assets are primarily operated properties that produced approximately 155 barrels of oil equivalent per day to U.S. Energy during the first quarter 2024. The effective date for the Transaction will be April 1, 2024, and the Transaction is expected to close by July 31, 2024.
