Explanatory Note:

 

On March 30, 2022, UTime Limited (the "Company") issued a press release announcing receipt of a deficiency notice from Nasdaq Stock Market (“Nasdaq”) informing the Company that it no longer meets the Nasdaq’s continued listing requirement to maintain a minimum bid price of $1.00 per share, as set forth in Nasdaq Listing Rule 5550(a)(2). A copy of the press release is attached hereto as Exhibit 99.1.
