Item 8.01 Other Events.

On April 23, 2010, Varian, Inc. (the “Company”) provided written notice to Agilent Technologies, Inc. (“Agilent”) of its election under the Agreement and Plan of Merger by and among Agilent, Cobalt Acquisition Corp. and the Company dated July 26, 2009 (the “Merger Agreement”) to extend the “End Date” (as defined in Section 9.1(b)(i) of the Merger Agreement) by another ninety (90) days to July 25, 2010.

The transaction contemplated by the Merger Agreement remains subject to regulatory approvals and the satisfaction or waiver of other customary closing conditions.
