NEW YORK, N.Y., Nov. 20, 2024 (GLOBE NEWSWIRE) -- SCWorx Corp. (Nasdaq: WORX) (the “Company”), a provider of data management services to healthcare providers, announced today that it has regained compliance with The Nasdaq Stock Market’s (“Nasdaq”) continued listing requirements regarding periodic reporting.

On April 17, May 17, and August 19, 2024, Nasdaq notified the Company that it no longer met the Nasdaq’s periodic filing requirement under Listing Rule 5250(c)(1) (the “Rule”).

In a letter dated October 14, 2024, Nasdaq indicated that based on the September 24, October 10, and October 11, 2024, filing of the Company’s Form 10-K for the year ended December 31, 2023, and Forms 10-Q for the periods ended March 31, and June 30, 2024, respectively, Staff had determined that the Company complies with the Rule and that the matter was now closed.

At this time, all deficiencies of which the Company has been notified have been rectified, and Nasdaq considers these matters closed. As such, the Company’s common stock continues to be listed and trading on Nasdaq under the symbol “WORX”.

New York, NY, Nov. 20, 2024 (GLOBE NEWSWIRE) -- SCWorx Corp (the “Company”), on November 19th, 2024 completed an equity financing with institutional investors (the “Institutional Investors” or “Investors”). In connection with the funding, the Company sold an aggregate of 232,558 shares of common stock and warrants to purchase the same number of shares of common stock, for aggregate gross proceeds of $200,000.

The Company will be registering for resale the shares of common stock and warrant shares with U.S. Securities and Exchange Commission (the “SEC”).

SCWorx expects to use net proceeds from the financing for working capital and general corporate purposes to support its future growth.

This stock gets mysteriously pumped in a major way by some secret method. Those high volume days happen with no news or PR by the company. Certainly would be nice to catch one of those waves at the bottom.
I feel the same group that pumps it, then shorts it also. Shorts are hard to get on those runs. And the borrow rate is very high %

Termination of Merger Agreement

On December 22, 2023, SCWorx entered into a definitive Agreement and Plan of Merger (the “Merger Agreement”) with American Environmental. The material terms of the
proposed merger were disclosed in the Form 8-K filed December 26, 2023.

On March 26, 2024, the parties agreed by mutual consent to terminate the Merger Agreement.
Therefore, the previously proposed merger will not take place, and SCWorx and American Environmental will each continue to operate as separate and independent businesses.

Well, only thing that really matters is $WORX is up, and we got alerted early...........

As merger consideration for their shares, American Environmental shareholders will receive shares of SCWorx common stock equal to 83% of the combined Company, on a fully diluted basis, after giving effect to a pre-merger capital raise of up to $6 million by American Environmental, which is a condition to completion of the Agreement. Therefore, SCWorx shareholders will own 17% of the combined company on a fully-diluted basis after the merger.
