On November 3, 2016, Accuride Corporation (the “Company”) issued a press release announcing that two leading proxy voting advisory firms, Institutional Shareholder Services, Inc. (“ISS”) and Glass, Lewis & Co., have recommended that the Company’s stockholders vote “FOR” the proposal to adopt the Agreement and Plan of Merger, dated September 2, 2016, by and among the Company, Armor Parent Corp. and Armor Merger Sub Corp. (the “Merger Agreement”), at the Company’s Special Meeting of Stockholders scheduled for November 15, 2016. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
