The Funds Audit Committee Charter requires that the Audit
Committee pre-approve all audit and non-audit services to be provided by Deloitte to the Funds, and all non-audit services to be
provided by Deloitte to the Funds Adviser and any entity controlling, controlled by or under common control with the Funds Adviser (Affiliates) that provides ongoing services to a Fund, if the engagement relates directly to

The aggregate non-audit fees billed by Deloitte for

Adviser or its Affiliates that provide ongoing services to AIF for the fiscal years ended December 31, 2019 and 2020 were $6,675 and $6,675, respectively.
