ITEM 5.02  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

At the Annual Meeting of Stockholders of AdvanSix Inc. (the “Company”) held on June 23, 2020, the stockholders of the Company approved and adopted the 2016 Stock Incentive Plan of AdvanSix Inc. and its Affiliates, as Amended and Restated (the “Incentive Plan”). A summary of the material terms of the Incentive Plan was included in the Proxy Statement filed with the Securities and Exchange Commission on April 29, 2020 (the “2020 Proxy Statement”), and is qualified in its entirety by reference to the full text of the Incentive Plan, filed as Exhibit 10.1 to this Current Report on Form 8-K, which is incorporated herein by reference.

ITEM 5.07  Submission of Matters to a Vote of Security Holders.

The Company held its Annual Meeting of Stockholders on June 23, 2020. The following matters set forth in the 2020 Proxy Statement were voted upon with the results set forth below.

1. Election of Directors. The Company’s stockholders elected the following director nominees to serve for a term ending at the 2021 Annual Meeting of Stockholders with the respective votes set forth opposite their names:
