Director Resignation

On October 13, 2022, David Levy provided notice to Audacy, Inc. (the “Company”) that he is resigning as a director due to time constraints. Mr. Levy’s decision to resign is not the result of any disagreement relating to the Company’s operations, policies or practices.

The Board of Directors will consider whether to fill this vacated directorship or reduce the size of the Board of Directors at its next Regular board meeting, presently scheduled to be held on December 6, 2022.
