waiting period has expired under the Hart-Scott-Rodino Antitrust
Improvements Act of 1976, as amended, in connection with its
previously announced transaction with Vista Equity Partners. The
transaction remains on track to close in the second half of 2022,
subject to approval by holders of a majority of Avalara’s
outstanding common stock and other customary closing
conditions.
