Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain
Officers; Compensatory Arrangements of Certain Officers
On October 6, 2017, the Board of Directors (the Board) of
Cott Corporation (the Company) appointed Kenneth C. Casey Keller Jr. to serve as a member of the Board, effective immediately, until his successor is duly elected and qualified or until his earlier resignation or removal.
Mr. Keller will serve on the Audit Committee of the Board.
There is no arrangement or understanding between Mr. Keller and any
other persons or entities pursuant to which Mr. Keller was appointed to the Board. There are no transactions in which Mr. Keller has an interest requiring disclosure under Item 404(a) of Regulation
S-K.
