On March 18, 2018, CSRA Inc. (the Company) confirmed by press release
receipt of an unsolicited letter from CACI International Inc. (CACI) proposing to acquire all of the outstanding shares of common stock of the Company for a combination of CACI common stock and cash, consisting of CACI common stock based
on a fixed exchange ratio of 0.184 shares of CACI common stock for each share of CSRA common stock, and cash equal to $15.00 per share. The combination of cash and stock is equal to approximately $44.00 per share, based upon CACIs closing
price on March 16, 2018 of $157.45 per share.
A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference
herein.

The tender offer to buy shares of the Companys common stock is being made pursuant to a Tender Offer Statement on Schedule TO (containing an offer to
