On May 6, 2024, the Fund consummated the merger into FT Energy Income Partners
Enhanced Income ETF (the “Acquiring Fund”) and shares of the Acquiring Fund were distributed to shareholders of the Fund. |

In the merger, shares of the Fund were exchanged for newly-issued shares
of FT Energy Income Partners Enhanced Income ETF (the “Acquiring Fund”). The conversion ratio was 0.428077, which is the quotient
of the Fund’s NAV per share divided the Nav per share of the Acquiring Fund as of the close of the market on the business day prior
to the merger. |
