The investigation centers on whether FX shareholders are receiving adequate compensation for their shares in the buyout, whether the transaction undervalues FX stock, and whether FX’s board attempted to obtain the highest share price for all shareholders prior to agreeing to the deal. Notably, FX only became a publicly traded company in February 2012 and is now being sold to Thomson Reuters. “Due to the short time frame FX was a publicly traded company and other factors, we believe that the transaction may undervalue FX stock.
