Item 7.01
Regulation FD Disclosure.
MSD Aqua Partners, LLC, an affiliate of MSD Partners, L.P. (collectively, “MSD”), has been a stockholder of Hayward Holdings, Inc. (the “Company”) since 2017 prior to the Company’s initial public offering in 2021. At that time, MSD had established an investment fund to acquire the Company, through which it held its shares. As of August 1, 2024, MSD held 65,003,866 shares of common stock of the Company, representing approximately 30% of the common stock outstanding.

MSD advised the Company that on September 11, 2024, MSD completed the process of distributing all such shares to its partners and members on a pro rata basis for no consideration pursuant to the winding down of the investment fund. Entities affiliated with MSD have retained approximately 3% in aggregate of the Company’s common stock outstanding.
