ATLANTA, May 7, 2012 /PRNewswire/ -- Invesco Advisers, Inc. ("Invesco") announced today that each of the Invesco and Invesco Van Kampen tax-exempt closed-end funds listed below (the "Funds") anticipate pricing and placing private offerings of Variable Rate Muni Term Preferred Shares ("VMTP") pursuant to offerings exempt from registration under the Securities Act of 1933.  VMTP are a variable rate form of preferred stock with a mandatory redemption date.  The Funds currently anticipate closing the VMTP transactions during May 2012.

The Funds also anticipate the redemption of all outstanding auction rate preferred shares ("ARPS") of each Fund at their respective liquidation preferences (sometimes referred to as "at par"), together with accrued and unpaid dividends, if any, to the redemption date.  These redemptions, which will total approximately $1,901,075,000 (excluding accrued and unpaid dividends, if any), are anticipated to be funded with cash and proceeds received from the issuance of VMTP. The Funds currently anticipate that the redemptions of ARPS will occur during May and June of 2012.

Funds

The timing of the closing of each Fund's VMTP and redemption of ARPS with VMTP will vary and is subject to a number of factors, including, but not limited to, the negotiation of definitive agreements, changes in interest rates and other market conditions, the willingness of buyers to purchase VMTP, the eligibility of collateral held by the Funds and the availability of attractive credit ratings, any of which may delay or prevent the closing of a Fund's offering of VMTP and redemption of such Fund's ARPS.  Accordingly, the Funds' Boards of Trustees will determine, based on the facts and circumstances applicable to each Fund at any particular time, when each Fund's VMTP offering and redemption of each Fund's ARPS will occur.  There can be no assurance that all or any portion of any Fund's ARPS will be redeemed.
