Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain
Officers; Compensatory Arrangements of Certain Officers.
On July 16, 2021, the Compensation Committee of the Board of Directors (the
Board) of Ouster, Inc. (the Company) approved base salary increases for certain of the Companys officers, including an increase in annual base salary for Angus Pacala, the Companys Chief Executive Officer, to
$180,000 and for Mark Frichtl, the Companys Chief Technology Officer, to $180,000, in each case effective as of July 1, 2021.
