Item 2.02. Results of Operations and Financial Condition.
On November 7, 2019, Sculptor Capital Management, Inc. (the “Company”) reported its financial results for the quarter ended September 30, 2019. A copy of the Company’s earnings release is attached as Exhibit 99.1 and is incorporated herein by reference.
The Company is making references to non-GAAP financial information in the earnings release and will also make references to non-GAAP financial information on the conference call the Company is hosting on November 7, 2019, to discuss its financial results for the quarter ended September 30, 2019. Reconciliations of these non-GAAP financial measures to the most comparable GAAP financial measures are contained in the earnings release. These non-GAAP financial measures should be considered in addition to and not as a substitute for, or superior to, financial measures presented in accordance with GAAP.
The information in this Current Report on Form 8-K, including the exhibit attached hereto, shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, (“Exchange Act”) or otherwise subject to the liabilities of that section. Item 8.01. Other Events.
On November 7, 2019, the Company announced that its Board of Directors declared a dividend for the third quarter of 2019 of $0.03 per Class A share. The dividend is payable on November 25, 2019, to holders of record as of the close of business on November 18, 2019.
