tender their shares into the exchange offer (the "Offer") to
purchase all outstanding shares of common stock of Romeo by
September 26, 2022 at midnight Eastern Time. On August 1, 2022, Nikola and Romeo jointly
announced they had entered into a definitive agreement for
this all-stock transaction.
The deadline to tender shares is midnight, Eastern Time, at
the end of the day on September 26,
2022, unless extended. If less than a majority of the
