Item 1.01 Entry into
a Material Definitive Agreement.
On January 24, 2020, Telaria, Inc., or the
Company, and Silicon Valley Bank, or the Lender, entered into that certain Fourth Amendment to Amended and Restated Loan and Security
Agreement, or the Amendment, to extend the maturity date to March 26, 2020. The Company had no outstanding borrowings under the
credit facility as of January 24, 2020; however, the Lender has issued standby letters of credit, which can be drawn down from
amounts available under the credit facility.
