Explanation of Responses:
( 1)  Advance election, pursuant to the Company's Equity Compensation Plan, made at the time of the 2008 award to satisfy the tax-withholding obligation on vesting.
( 2)  Shares of Restricted Stock have been awarded pursuant to the Thomas & Betts Corporation 2008 Stock Incentive Plan which is a Rule 16(b)(3) plan. The restriction will be lifted after the third anniversary of the grant date.
( 3)  Common Stock Units held in the Thomas & Betts Company Stock Fund, an investment option in the Thomas & Betts Corporation Employees' Investment Plan. This information is based on a plan report as of December 1, 2011.
