On July 17, 2024, the Board of Directors of Tri Pointe Homes, Inc., a Delaware corporation (the “Company”), approved modifications to the existing executive employment agreement between the Company and Thomas J. Mitchell, the Company’s President and Chief Operating Officer, to increase Mr. Mitchell’s “Covered Termination” multiples in connection with both change in control and non-change in control separations from 1.5x and 2.5x, respectively, to 2x and 3x, respectively.
