( 1)  On March 21, 2013, the Reporting Person was elected to serve on the Board of Directors of the Issuer.
( 2)  The Reporting Person is the direct beneficial owner of 2,769 shares of Class A Common Stock. Additionally, she is the indirect beneficial owner of 555 shares of Class A Common Stock owned by the Catherine U. Biddle IRA for the benefit of Catherine U Biddle and 50,000 shares of Class A Common Stock owned by Willing L. Biddle, the Reporting Person's husband.
