Unisys Corporation Announces Closing of $190 Million Offering of 5.50% Convertible Senior Notes
BLUE BELL, Pa., March 15, 2016 /PRNewswire/ --
Unisys Corporation (NYSE: UIS) ("Unisys") announced today that it has closed its previously announced offering of $190 million aggregate principal amount of 5.50% Convertible Senior Notes due 2021 (the "notes"). The proceeds from the offering, net of the initial purchasers' discount and the cost of the capped call transactions discussed below, are approximately $160.0 million. Unisys intends to use these net proceeds for general corporate purposes, which may include funding cost reduction and savings initiatives, obligations under its defined benefit pension plans, investments in next-generation services and technologies and repaying existing debt. Among these possible actions, Unisys may use the net proceeds from the offering to help address the maturity of the notes due 2017.
As previously announced, Unisys entered into capped call transactions with respect to the notes. These capped call transactions effectively raise the conversion premium on the notes from approximately 22.50% to approximately 60%, which raises the initial conversion price of approximately $9.76 per share of common stock to approximately $12.75 per share of common stock.
Unisys also granted an option to purchase up to an additional $28.5 million in aggregate principal amount of the notes on the same terms and conditions, solely to cover over-allotments, if any. If this option to purchase additional notes is exercised, Unisys may enter into additional capped call transactions with respect to the additional notes.

Unisys Delivers First Phase of an Enhanced 311 System for City of Philadelphia
Built on the Salesforce.com Service Cloud Platform, the upgraded system aims to engage citizens over a wider range of communications channels for city services

Unisys Corporation UIS -0.09% today announced that it has been selected to build a more flexible and robust customer relationship management (CRM) solution to support the City of Philadelphia's " Philly 311 " program for responding to citizen requests and inquiries, and proactively reaching out to citizens to improve their quality of life.
Based on Salesforce.com's Service Cloud CRM Platform, the new system will be designed to expand citizens' access to city services over a diverse range of communication channels including telephone, Internet, mobile phone and social media such as Facebook and Twitter.
The City of Philadelphia selected Unisys to develop an innovative cloud-based foundation for the government CRM based on Unisys' decade of experience delivering 311 solutions to other large municipalities. Unisys will implement and support the system, which aims to provide transparent access to government information and services in support of the city's citizen engagement and open data initiatives.
"This implementation is designed to help the City of Philadelphia build on the success of its Philly 311 constituent engagement initiative, which has been fielding citizen requests for information and service for more than five years," said Crystal Cooper, vice president of public sector solutions at Unisys. A Philly 311 pilot project was deployed in June 2014 with an initial user base of city employees and citizens. The pilot will begin the transition from the current system and facilitate the change management process.

Unisys Selected as an Awardee for Department of Homeland Security EAGLE II Contract with a $22 Billion Ceiling
Unisys to compete to provide a full range of solutions and services for IT integration, software development, and operations and maintenance

Unisys (NYSE:UIS) was selected as one of several prime contractors by the U.S. Department of Homeland Security (DHS) to compete to provide a range of information technology services under the EAGLE II contract, which has a $22 billion contract ceiling.
Under the contract, Unisys and other EAGLE II contract awardees will compete for task orders covering numerous IT services for DHS under the Unrestricted Track of Functional Category 1, Service Delivery, including integration; software design and development; and operations and maintenance. The contract follows DHS' original EAGLE contract, a vehicle under which Unisys provided services to agencies such as the Transportation Security Administration, Customs and Border Protection (CBP) and the U.S. Coast Guard.
The EAGLE II contract, expected to serve as the vehicle to provide the vast majority of IT services to DHS and its component agencies, has a ceiling value of $22 billion over a five-year base period, followed by one two-year option period.

Unisys swings to third-quarter profit despite sales

SAN FRANCISCO (MarketWatch) -- Unisys Corp. shares surged more than 11% Wednesday as the technology-services provider swung to a third-quarter profit in the wake of a reverse stock split.
Unisys /quotes/comstock/13*!uis/quotes/nls/uis (UIS 27.14, +3.07, +12.75%) climbed $2.74 a share to $26.76 after the company reported a quarterly profit of $61.1 million, or $1.48 a share, compared with a loss of $34.7 million, or 96 cents a share, in the year-ago period.
