On November 30, 2011,
Invesco announced that the Boards of Directors/Trustees of the
Invesco closed-end funds approved the mergers of certain Invesco
closed-end funds. Pursuant to these mergers, the Invesco closed-end
funds listed below (the "Target Funds") would be merged into other
Invesco closed-end funds (the "Acquiring Funds"). The funds are
continuing to solicit shareholder approval of the proposed mergers.
These funds are expected to declare their next monthly dividend on
August 20, 2012, with a record date
and payable date of August 24, 2012
and August 31, 2012,
respectively.

Any merger that is approved by shareholders before August 20, 2012 (an "Approved Merger") is
expected to close on August 27,
2012. The monthly dividend of each Target Fund participating
in an Approved Merger, expected to be declared on August 20, 2012, will be combined with the final
distribution for such Target Fund. In addition, the dividend for
each Target Fund participating in an Approved Merger expected to be
declared on August 20, 2012 will be
distributed to shareholders in cash, notwithstanding any
shareholder's enrollment in the Target Fund's dividend reinvestment
plan. Any shareholder currently enrolled in a Target Fund's
dividend reinvestment plan will be automatically enrolled in the
Acquiring Fund's dividend reinvestment plan upon the closing of the
merger. Those mergers not yet approved by shareholders before
August 20, 2012 will not close on
August 27, 2012. For Target
Funds in such mergers, the dividend expected to be declared on
August 20, 2012 will be a regular
monthly dividend and will be reinvested in additional shares for
those shareholders who are enrolled in such Target Fund's dividend
reinvestment plan.

of all distributions in 2012 will be made after the end of the
