Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective February 9, 2018, Jerry Lombardo commenced service as the Chief Financial Officer of Ditech Holding Corporation (the “Company”), replacing Gary Tillett who retired from all positions at the Company effective as of the same date. The terms of the offer letter between Mr. Lombardo and the Company and the terms of the retirement agreement between Mr. Tillett and the Company were previously disclosed in a Current Report on Form 8-K filed with the Securities and Exchange Commission on December 6, 2017 and are incorporated by reference herein.
