Several class action lawsuits have been filed in Delaware Chancery Court on behalf of the shareholders of Wilmington Trust Corp. (NYSE: WL).

The actions allege that Wilmington Trust and its board of directors violated applicable law by agreeing to sell Wilmington Trust to M&T Bank Corporation for $351 million. The complaints allege that the defendants engaged in a flawed process designed to ensure that the sale of Wilmington Trust to M&T were on terms preferential to M&T. The complaints further allege that the company's shareholders will not likely receive adequate or fair value for their Wilmington Trust stock.
