VESTING OF AWARDS UNDER THE ALBA plc LONG-TERM INCENTIVE PLAN
AND EXERCISE OF EXECUTIVE SHARE OPTIONS
On 25 July 2003 the Trustees of the Alba plc ESOP Trust released Ordinary Shares
of 10p each ("Ordinary Shares") in the Company to the following directors of
Alba plc in respect of the awards made to them on 1 July 2000:-
John Eric Harris, 10,652 Ordinary Shares representing 0.021% of the issued share
capital
Daniel Bruce Harris, 14,451 Ordinary Shares representing 0.029% of the issued
share capital
Andrew David Rose, 8,877 Ordinary Shares representing 0.018% of the issued share
capital
Paul John Cannon, 4,350 Ordinary Shares representing 0.009% of the issued share
capital
Antonio Coda, 3,324 Ordinary Shares representing 0.007% of the issued share
capital
The Company has been informed that following the vesting on 25 July 2003 Andrew
David Rose disposed of the 8,877 shares awarded to him at a price of 550p per
share.
In addition, on 25 July 2003, 55,000 Ordinary Shares in the Company were
allotted to Andrew David Rose, following the exercise of Executive Share Options
over 30,000 Ordinary Shares at a subscription price of 215p per share and 20,000
Ordinary Shares at a subscription price of 182.5p per share. The Company has
been informed that following this allotment Andrew David Rose disposed of 55,000
shares at a price of 550p per share.
Following the vesting on 25 July 2003 of 61,297 Ordinary Shares in the Company
to the directors and other executives of the Company, the number of shares held
by the ESOP trust in which the directors continue to have an interest is
241,518.
In addition to his interest in the shares held by the ESOP Trust John Eric
Harris now has a beneficial interest in 5,299,495 Ordinary Shares in the Company
representing 10.54% of the issued share capital of the Company and 11,326, 9,848
and 20,193 Ordinary Shares awarded to him under the Long-Term Incentive Plan on
1 July 2001, 1 July 2002 and 1 July 2003.
In addition to his interest in the shares held by the ESOP Trust Daniel Bruce
Harris now has a beneficial interest in 6,089,818 Ordinary Shares in the Company
representing 12.11% of the issued share capital of the Company and 15,052,
13,925 and 29,668 Ordinary Shares awarded to him under the Long-Term Incentive
Plan on 1 July 2001, 1 July 2002 and 1 July 2003.
In addition to his interest in the shares held by the ESOP Trust Andrew David
Rose has a beneficial interest in 195,951 Ordinary Shares in the Company
representing 0.39% of the issued share capital of the Company, Executive Share
Options over 50,000 Ordinary Shares, Savings-Related Share Options over 7,987
Ordinary Shares and 9,307, 8,303 and 19,355 Ordinary Shares awarded to him under
the Long-Term Incentive Plan on 1 July 2001, 1 July 2002 and 1 July 2003.
In addition to his interest in the shares held by the ESOP Trust Paul John
Cannon now has a beneficial interest in 106,884 Ordinary Shares in the Company
representing 0.21% of the issued share capital of the Company, Executive Share
Options over 77,500 Ordinary Shares and 5,072, 4,785 and 6,444 Ordinary Shares
awarded to him under the Long-Term Incentive Plan on 1 July 2001, 1 July 2002
and 1 July 2003.
In addition to his interest in the shares held by the ESOP Trust Antonio Coda
now has a beneficial interest in 11,318 Ordinary Shares in the Company
representing 0.02% of the issued share capital of the Company and 4,281, 3,834
and 5,371 Ordinary Shares awarded to him under the Long-Term Incentive Plan on 1
July 2001, 1 July 2002 and 1 July 2003.
