Pursuant to our obligations under the Listing Rules, we hereby advise you that
Sydney Gillibrand CBE, Chairman of AMEC plc, has elected to receive an
additional 505 ordinary shares in AMEC plc at 258.69p per share, in lieu of the
ordinary dividend paid on 2 January 2004, under the terms of the AMEC plc
Dividend Re-investment Plan.

Mr Gillibrand now has an interest in 62,150 ordinary shares in AMEC plc.
