CHC Helicopter Corporation Makes Private Placement of Senior Subordinated Notes due 2014 VANCOUVER, March 16 /PRNewswire/ -- CHC Helicopter Corporation (TSX: FLY.SV.A and FLY.MV.B; NYSE: FLI) announced today that it has, subject to customary closing conditions, agreed to sell U.S.$150,000,000 in aggregate principal amount of its 7 3/8% senior subordinated notes due 2014 in a private placement, which represents an increase from the U.S.$100,000,000 in aggregate principal amount that CHC originally proposed to offer. The notes were sold for 103.5% of their aggregate principal amount, which results in an effective annual yield of 6.745%. This issuance represents an add-on offering to the existing U.S. $250,000,000 in aggregate principal amount of its 7 3/8% senior subordinated notes due 2014, which were issued in April, 2004. Closing is expected to take place on March 22, 2005. The net proceeds of the offering will be used to repay partially the amounts owed under CHC's senior credit facility and to pay related fees and expenses. CHC intends to use any remaining proceeds for general corporate purposes. The notes have been offered in the United States to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended. Certain of these securities may also have been offered to a limited number of institutional accredited investors in the United States in transactions exempt from the registration requirements of the Securities Act and to non-U.S. persons outside of the United States pursuant to Regulation S under the Securities Act.
