                               ADDITIONAL LISTING

The Company announces that application has today been made for the admission of
769,231 new ordinary shares of 10 pence each in the Company ("New Ordinary
Shares") to trading on the Alternative Investment Market of the London Stock
Exchange.

The New Ordinary Shares are to be issued in lieu of payment of professional
advisory fees further to the recent acquisition of International Teachers
Network Limited by the Company. It is expected that Admission will become
effective and that dealings in the New Ordinary Shares will commence on 5
January 2004.
