              Results of Extraordinary General Meeting ("EGM") and
        completion of Universal Consumer Products Limited ("Universal")


At the EGM of the Company held today, all the resolutions necessary for the
acquisition of Universal, the share re-organisation and the change of name were
passed.  The acquisition of Universal has now been completed and trading in the
Company's ordinary shares of 10p each (being their new form following the
re-organisation) is expected to commence on AIM on 10 April 2003.

The Company's change of name to Universal Direct Group plc is expected to become
effective as from 11 April 2003, under mnemonic code UDI.
