Augusta Issues Convertible Debentures

TORONTO, ONTARIO--(Marketwired - Jan 7, 2014) - Further to its press release of November 27, 2013, Augusta Industries Inc. (the "Corporation") (TSX-VENTURE:AAO) would like to announce that it issued an aggregate of $503,990.33 in "B" 12% convertible senior debentures (the "Debentures"). The Debentures are being issued as replacement debentures for the debentures that became due on November 7, 2013.

The Debentures have the following features:

  • convertible into common shares in the capital of the Corporation at a conversion price of $0.05 per share for the first 12 months and then is convertible at a conversion price of $0.10 per share thereafter;
  • an aggregate of 4,055,555 warrants ("Warrant") will be issued to the debenture holders. Each Warrant entitles the holder thereof to obtain one (1) common share in the capital of the Corporation at an exercise price of $0.05 per share for a period of thirty six (36) months;
  • have a term of 36 months; and
  • annual interest rate of 12% which shall be accrued and paid on maturity.
