CALGARY, Feb. 27, 2013 /CNW/ - Northern Frontier Corp.
(formerly Frontier Acquisition Corp.) (TSX-V: FFF.P) (the
"Corporation" or "Northern Frontier") announces today
that it has: (i) changed its name to Northern Frontier Corp. (the
"Name Change"); (ii) consolidated its common shares on the
basis of fifteen (15) pre-consolidation shares for one (1)
post-consolidation share (the "Consolidation"); and (iii)
changed its fiscal year-end from November 30
to December 31 (the "Change in Year-End").
Name Change and Consolidation
The Name Change and Consolidation were approved
at a special meeting of shareholders held on February 15, 2013. The TSX Venture Exchange has
accepted notice of the Name Change and Consolidation and has issued
a bulletin stating that effective at market opening on February 28, 2013, the pre-Consolidation common
shares of the Corporation will be delisted and the
post-Consolidation common share will commence trading under the new
name. The Corporation's trading symbol, FFF.P, will remain
unchanged. On a post-Consolidation basis, there will be
approximately 918,533 common shares issued and outstanding.
Letters of transmittal have been sent to
registered shareholders of the Corporation to facilitate
distribution of the post-Consolidation common share certificates.
Registered shareholders are asked to complete the letter of
transmittal and return it to Alliance Trust Company along with
their share certificates representing pre-Consolidation common
shares.
Change in Year-End
The Change in Year-End was adopted in order for
the Corporation to have the same financial year-end as most
reporting issuers in the Canadian oil and gas services
industry. A Notice of Change in Year-End has been filed via
