agreement dated April 16, 2009 (the "Purchase Agreement") among the Bayou
Bend Petroleum Ltd. (the "Company"), its direct and indirect subsidiaries,
781756 B.C. Ltd., Bayou Bend Petroleum U.S.A. Ltd., Summit Energy Company,
L.L.C. and Bayou Bend Offshore, Ltd. (the Company and the subsidiaries
collectively, "Bayou Bend") and Dynamic Offshore Resources LLC
("Dynamic"). Under the Purchase Agreement, Bayou Bend agreed to sell all
or substantially all of its undertaking, being oil and gas assets located
offshore Texas and Louisiana (the "Assets"), to Dynamic, an arm's length,
private Texas-based limited liability company (the "Transaction").
Under the Purchase Agreement, Dynamic has agreed to pay Bayou Bend
US$12,500,000 (the "Cash Purchase Price") in cash upon the closing of the
Transaction. The Cash Purchase Price included a US$1,250,000 deposit
amount (the "Deposit Escrow") which was placed in escrow upon the signing
of the Purchase Agreement. The Cash Purchase Price was subject to
adjustment in accordance with the terms of the Purchase Agreement,
including an adjustment for any title defects related to any of the
Assets. The amount representing the cost of curing such title defects, or
if the defects cannot be cured, the diminution in value resulting from the
defect, was subject to an escrow agreement and the Deposit Escrow was
released in accordance with such agreement.
Dynamic will also pay Bayou Bend, on or before April 1, 2011 an additional
cash payment (the "Deferred Purchase Price") (the Cash Purchase Price and
the Deferred Purchase Price are, together, the "Purchase Price") of up to
US$8,000,000. The Deferred Purchase Price will be an amount equal to (i)
the amount in Mcfe of proved oil and gas reserves, including proved
developed reserves and proved undeveloped reserves as of December 31, 2010
(including any net production of hydrocarbons from the Effective Date
until December 31, 2010) net to the interests acquired by the Buyer as
Assets under the Purchase Agreement in excess of 6.5 Bcfe (billion cubic
feet equivalent) multiplied by (ii) $0.20 per Mcfe.
The Exchange has been advised that the Transaction was approved by
shareholders of the Company at a meeting of shareholders held on May 22,
2009.

held on August 26, 2009 and that approval of the Arrangement was received
from the Supreme Court of British Columbia on August 27, 2009. The full
