Meridex Software Corporation (TSX VENTURE:MSC) announced today that it has
signed an agreement with David Sweetnam to issue 572,500 common shares of the
company as full and final settlement of all outstanding claims in connection
with the 2004 purchase by Meridex of Sweetnam Consulting Inc. Of these shares,
500,000 are being issued under the terms of the 2004 purchase previously
accepted by the TSX Venture Exchange.


The company has also agreed to issue 100,000 common shares at a price of $0.15
as payment for $15,000 in severance liability owed to David Sweetnam by the
company.


The company has also agreed with one of its creditors to convert a $2,600 debt
into 17,333 common shares at a conversion price of $0.15.


The relevant share issuances and related agreements are subject to the
acceptance of the TSX Venture Exchange.
