WATERLOO, Ontario, June 07, 2024 (GLOBE NEWSWIRE) -- FuelPositive Corporation (TSX.V: NHHH) (OTCQB: NHHHF) (the "Company") announces that further to its news release of May 28, 2024 in connection with closing of the first tranche (CA$1.5m) of its $0.055 unit non-brokered private placement (the “Offering”), the Company has received an extension of the deadline for completion of the Offering from the TSX Venture Exchange, and anticipates completing a final tranche of the Offering before June 24, 2024.

The Company also announces that it will settle (the “Debt Settlement”) further outstanding indebtedness totaling $27,500 owing to an arms-length creditor in consideration for the issuance of 500,000 units (each, a “Unit”) at a deemed price of $0.055 per Unit. NEWS -- FuelPositive Closes First $1.5m Tranche of Non-Brokered Private Placement



WATERLOO, Ontario, May 28, 2024 (GLOBE NEWSWIRE) -- FuelPositive Corporation (TSX.V: NHHH) (OTCQB: NHHHF) (the “Company”) is pleased to announce that it has closed the first tranche of its non-brokered private placement (the “Offering”). In connection with completion of the first tranche of the Offering, the Company has issued 28,123,818 units (each, a “Unit”) at a price of $0.055 per Unit for gross proceeds of $1,546,810. Each Unit consists of one common share of the Company and one common share purchase warrant (each, a “Warrant”) allowing holders to purchase an additional common share at a price of $0.07 for a period of sixty months.

The Company anticipates completing a further tranche of the Offering to raise total proceeds of up to $3,000,000 and will provide further details regarding closing of this additional tranche as soon as all participation has been finalized.

The net proceeds from the Offering will be utilized for general working capital purposes. In connection with completion of the first tranche of the Offering, the Company has paid finders’ fees of $5,390 and issued 98,000 Warrants to an arms-length brokerage firm who assisted in introducing subscribers to the Company. All securities issued in connection with the Offering are subject to a statutory hold period of four-months-and-one-day in accordance with applicable securities laws.

The Company also announces that it has revised the debt settlement (the “Debt Settlement”) transaction previously announced on May 17, 2024. "While we were pleased to meet our April 15 target date for the shipping of our system, we deliberately chose to hold back the last containers in Waterloo until we receive the go-ahead from the Hieberts regarding final site readiness. It’s been a challenging spring for farmers in Manitoba due to significant precipitation, and we had to press pause to allow for the necessary heavy equipment access to the site," continued Ian Clifford.

May and early June are also incredibly active periods for seeding and planting for farmers in Manitoba. FuelPositive is respectful of the Hieberts’ busy spring and unforeseen weather-related site prep challenges and decided to keep the balance of the system in Waterloo until the Hieberts go ahead. Once received, the balance of the system will be installed on-site in Manitoba following two days to account for loading and shipping times.

The positive aspect of having the balance of the system at FuelPositive facilities in Waterloo has allowed the team to advance readiness, which will translate into accelerated on-site commissioning.

The Company monitors progress daily and awaits confirmation from the Hieberts that the on-farm site is ready to receive the complete system, including the new 90-ton anhydrous storage tank.

Private Placement first tranche details

In connection with the completion of the first tranche of the Offering, the Company anticipates issuing 27,000,000 units at a price of $0.055 per Unit for gross proceeds of $1,500,000. Each Unit will consist of one common share of the Company and one common share purchase warrant allowing holders to purchase an additional common share at a price of $0.07 for a period of sixty months.

The Company anticipates completing a further tranche of the Offering to raise total proceeds of up to $3,000,000 and will provide further details regarding closing of this additional tranche as soon as participation has been finalized.

The net proceeds from the Offering will be utilized for general working capital purposes. In connection with the completion of the Offering, the Company may pay finders’ fees to eligible third-parties who have assisted in introducing subscribers to the Company.

In connection with the completion of the Offering, the Company also intends to settle (the “Debt Settlement”) outstanding indebtedness totaling $111,000 owing to certain arms-length credits in consideration for the issuance of 2,018,182 Units at a deemed price of $0.055 per Unit. The Debt Settlement is inclusive of amounts previously announced by the Company in its news release of April 4, 2024.

All securities issued in connection with the Offering and Debt Settlement will be subject to a statutory hold period of four-months-and-one-day in accordance with applicable securities laws. Completion of the Offering and the Debt Settlement remain subject to the approval of the TSX Venture Exchange.

Curtis Hiebert took time out of his busy spring season schedule to visit the team at FuelPositive's new small-batch manufacturing facility in Waterloo, Ontario, to complete the FAT and mandatory safety training for the first FP300, which will be delivered on-farm this week. Tracy and Curtis Hiebert were selected as recipient of the World’s first FuelPositive’s demonstration pilot for the FuelPositive's on-farm Containerized Green Ammonia system.

Success??? I really hope for it. I have money on the line as do 100+ others. Now I would be happy to see a plant producing at a farm site. We need hard figures going forward. Not "spring" summer" of any other nice sounding term. Machines on the farm. Sold Machines under construction at the Waterloo plant. Planned delivery dates for those machines. Financial figures with gross sales dollar amounts. These are the things that success is based on. We know there is a Waterloo plant because they took a politician to it. We "INVESTORS" need hard numbers to justify our involvement.

The sweet smell of success? Seriously, I don't blame doubters, it has taken way too long to get this synthesizer unit on the farm, and IMHO with insufficient transparency, so it's reasonable to wonder what's going on. On the other hand, I'm quite hopeful. This date of April 15 has slipped a little (originally March31), but it is an actual date, as opposed to years of meaningless "weeks and months" nonsense. So, God help me, I do think this time it's different. Lots of factors point to that. If it is ready to go, it still may slip a little, but if I am right, we should know a lot by the end of the month. They seem to be trying to forge bonds with both the Manitoba and national governments, and any help from government, if it comes, will be quite welcome.

Well, I was wrong again. Another private placement for over 100 million shares for just $3 million. They soon will have a billion shares outstanding and still no plant working on a farm. Bring in more politicians. Maybe they will "donate" a few hundred million. There is something that just smells here.

Non-Brokered Private Placement

The Company is pleased to announce that it will offer (the “Offering”) up to 54,545,455 units (each, a “Unit”) by way of non-brokered private placement at a price of $0.055 per Unit for aggregate gross proceeds of up to $3,000,000. Each Unit will consist of one common share of the Company and one common share purchase warrant allowing holders to purchase an additional common share at a price of $0.07 for a period of sixty months.

Good point. I hadn't considered that aspect but with the larger system the Hebert's are needing it makes sense they would have to make some changes to their site. They are some serious end users for FuelPositive.

Nice! There was a mention of upgrading site power for the FP1500 which has an output multiples of the the FP300. This tells me that Yes, they are/have prepared the site for the FP300 and that the 1500 means multiple sales for the company. (I had a lot of questions about site preparation and most were answered in this Pr)

Ammonia is a key component in various fertilizers and industrial applications. While anhydrous ammonia (NH3) is widely used it is limited in specific circumstances, such as controlled environment agriculture. This is primarily due to safety protocols and transportation challenges. Lower nitrogen content aqueous ammonia is a preferred alternative in such scenarios.

Currently, the production of aqueous ammonia requires expansive facilities that yield significant quantities of the solution. Due to their scale, these facilities demand substantial water supplies and energy inputs, often relying on fossil fuels. Additionally, aqueous ammonia must be transported to and stored near its intended application site. This large-scale, centralized production method hinders easy adjustments to the nitrogen concentration of the produced aqueous ammonia fertilizer.

In contrast, FuelPositive's new module can produce Green Aqueous Ammonia on-site and adjust the concentration of the output fertilizer on demand, thus, allowing farmers to customize the nitrogen content of their fertilizers as needed.
