10Q out today. Premier has advanced $52,600 to Altair in the last 6 months for operating expenses. So merger seems to still be on. Hope they stick to the closing amendment timeline this time.

Between $2 and $5 a share after merger. That's my speculation based on what limited info there is. Someone has been consistently buying. By my calculations on share float, there are a little over 8.1 million shares left, after myself and insider holdings. I'm sure that number is a lot lower, but I can't confirm anyone elses share count. The less shares available when merger happens the higher the share price could go. And it is my understanding that the insiders can only sell small portions at a time on a daily basis.

Just a reminder. We are now in the month that the Merger will hopefully take place. The PPS has held up much better than I thought it would after the delay. Makes me think insiders have been buying. Some nice numbers mentioned in the PR's so IMO when this merger happens we will see a nice move.

Almost every post I make is done as a reminder to myself on why I bought or what is coming. LOL. I do it for myself. Its the only way I can keep up with it many times. If anyone else benifits from it then that is ok also.

I hope they close this merger before Nov 31st. Because there are only 30 days in November. I emailed the CEO of Premier and stated this and asked if he could contact Lovallo (CEO of Altair) and have an amended 8k filed changing this to an actual date. I haven't heard back from anyone one. Hopefully the date does not matter because they plan to close early. I guess we will see.

8K out today. Not exactly what we were looking for but could be worse. At least the RM is still on the table. I plan to keep holding and if it dips back down to the lows again then I will add a few more. Not sure if these type of deals ever happen before the date but just incase I plan on having some. Do you know if Premier was at fault this time or is there another reason for the postponement?

I am confused with the 8k stating ANOTHER postponement. It said that all the conditions were not met. It doesn't seem like there are a lot of difficult conditions for them not to be met after 7 months. Also seems it is being postponed on purpose. I could be wrong but things are not making sense. Especially the fact that it is stated they moved the closing date to Nov 31st when there are only 30 days in that month. Could be a typo. What are others thoughts?

I agree and don't expect to get a reply. Pretty much just sent it so they know that shareholders are waiting for the outcome. Personally I would just as soon nobody know anything until it is a done deal and all paperwork is in. The element of surprise may be in our best interest.. it's a risk to hold but also could be big reward.

Don't hold your breath on a reply to your email. Been here since 2019 and no one from the company nor the CEO has ever replied to any phone call or email. Altair anyway not Premier. No worries though, the existing management will be gone with their 23,995,583 shares. Looking to make their millions soon. It's crazy that there is only 8,807,944 shares not held by insiders, that's shown on the PRE14c anyway. I wonder what kind of arrangement Premier has with them, if any, not to sell all their shares right away and tank the new stock before it gets any traction.

Thanks. I think we are still on track myself also. We wont know for sure until it happens but you can usually tell very quickly after a date if something is wrong. Someone always knows. The day after the merger was to happen there was a surge of buy volume. The spread is pretty wide so the last price pretty much depends on whether the last trade was a buy or a sell. Volume has been pretty low since then but no big sell off like you normally see if bad news is expected. Today only 2 trades with 5488 shares traded which is only $318. Both companies are very quiet which is understood. This type of merger is not one you want to be leaking info out even tho we try. LOL. I have been watching closely and googled for any new info and got zilch. I have watched their twitter and facebook and websites I sent a email to the company also but havent got a response. Fingers crossed . I am holding tight.

It seems like we could be right on schedule. According to this paragraph I took from an attorney that deals with reverse mergers.

Here is just a sample of the legal requirements:

A reverse merger requires a definitive agreement that contractually describes the stock exchange between the shareholders of the private company and the publicly traded company. Usually the transaction is structured as a tax-free reorganization.
Because you're communicating with shareholders of a publicly-traded shell, you have to file a proxy with the SEC, but which is governed by state corporate law in which the publicly traded company is incorporated in.
Accounting rules - 2 or 3 years of audited financial statements that must be filed 4 days after the reverse merger takes place. Only when this is completed should they sign the definitive agreement - otherwise they will merge into the shell and immediately become delinquent and they will then have merged into a worthless shell, in essence.

I was doing a little research on it. Kind of hard to put a exact finger or time on anything.

Rigatoni may be right about the 10 days. Although I didn't find a definite answer, I did find a DEF14c filing from another company from a few years back, that was going through a similar reverse merger. They closed their merger on October 6th and the DEF14c was filed on October 16th.

Agreed. Not positive but I think they have up to 5 trading days to put out the filing.

I'm speculating the DEF14c drops today or tomorrow, but could be any day this week. If not, then there is the possibility that it gets postponed again for a third time or canceled all together. But those two actions wouldn't benefit anyone. Insiders own 70% of the company and seem to have a golden parachute here with Premier.

If the merger was signed and completed on the 31st, then there should be a DEF14c filing with the SEC dropping here today or tomorrow after hours. Then the stock should start trading under new company and management soon after. And it would only make sense that the stock price will be substantially higher due to the new companies valuation.

Premier Air Charter operates out of Carlsbad here in San Diego county. Its 7;30 am here

Havent seen anything today yet but some interesting action going on. Also noticed that Level2 on OTC Markets is normally right but so far today it is not even close on anything there with what I am showing on Etrade. Hopefully we hear more today. There has definitely been some buying today.

Thanks. This one has my curiosity built up. I dont want to get myself or anyone else overly excited but I dont think I have ever been in a stock quite like this. All the filings show exactly how the reverse merger will work and there should be zero notes or dilution from what I can tell. Everything has to be clean slate to make the merger. The new company has over 4000 happy clients and making the big bucks and the revenue is rising nicely every quarter. With the way our airlines have been having so much trouble and cancelations here lately I can see how this could keep growing. They have flights to all the most popular destinations. The PR says to be complete by Aug 31st which is on a Saturday so we may see something tomorrow. Combine all of the above with a float of only 14M then we just might be in for a nice suprise if the merger goes off as planned. Maybe next week before we know anything which is fine with me. I plan on keeping some shares here for awhile just to see what happens down the road. Could see a PR blitz begin after the R/M

Glad to have you aboard secondlife. I have always liked your post and you seem to have a good head on your shoulders. Its not always easy to find the good ones in this jungle and many do not work out like we want , but many do. Just have to keep trying.

I agree your price prediction and it would be nice if it would stay low for everyone to accumalate cheap but it is not always that easy if you want a decent position. Especially when you have a stock with only about 14M float. The closer we get to the merger date the harder it is to get shares. I know I watch it every day.. Many times you only get filled for a very few shares below the ask which sometimes is not even as much as the fees are. If traders want any decent size they gonna have to hit the ask. I sat on the bid for weeks before I got a decent position but its not as easy now and it seems the longs are holding their shares pretty tight. Even the 52wk high is .165 so we still looking pretty cheap to me looking at the chart. See todays trades below.

This is not the time for the stock price to be going up to much. This is the time to keep it low and accumulate. The stock price under this shell company means absolutely nothing, it's the merger company that will shoot up the price after merger. So the higher the price goes now the more money that has to be spent and less shares that will be accumulated. DON'T chase the ASK.

Been here three and a half years. I've done so much DD on this company and insiders it's crazy. This is definitely the outcome that they were working towards. They never had any intention of starting and growing a business. They have been looking for ways to shoot the stock up and sell out with millions.

The insiders have a four year vested interest in the stock price going as high as possible. I also believe the closing delay in May rescheduled to August was on purpose, so that Premier could show the higher revenue that they press released through ATAO, and the company could be valued higher when it starts trading.

You do know that the insiders of this company right now that will no longer be apart of this company going forward own 70% of outstanding shares.

I have never been one to give price predictions and especially on these type of reverse mergers plays with low floats and successful company taking over. It really doesnt matter to me as long as we keep heading up. All I know is I have been loading up for awhile now all the way from .026 and holding tight. Shares are definitly getting hard to get now. I plan to hold on to my shares tho and see what happens. Things could get really exciting after the merger. Fingers crossed.

Closed today at 0.0345 on higher than average volume. Only about 23 more trading days to accumalate before the merger.

Been accumulating this one almost daily for a couple of weeks now. Shares getting harder and harder to get the closer we get to that merger date of Aug 31st with a already successful company. I dont post on the subject boards very often because of all the noise on most boards. This one is very quiet so I took a Mod spot for now. Hopefully it will become much more active soon. If anyone wants to research any on this stock they can start by my post on my board and follow the links. I will sticky when a good post comes along. I dont really have time to make a good on for newbies to DD. Hopefully timing is right this go around. All of the penny stocks can be risky but I like the odds this time.

Looks like a reversal today and closed at HOD on light volume. Seller running out of shares.? Up over 50% and no post here. Definitely a quiet one but I expect that to change soon.
