NOTICE TO SHAREHOLDERS
BIOCUBE, INC.
On June 30, 2023, a total of 128,400,000 shares of voting capital stock of BIOCUBE, INC. (the "Company") representing approximately 65% of the total voting capital stock of the Company voted in favor of the following:
A. to effect a 1 for 200 reverse stock split ("Reverse Stock Split") of its issued and outstanding shares of common stock to shareholders of record as of the Record Date (as defined below) on the date the necessary filings reflecting such reverse split is effective with the Secretary of State of the State of Nevada ("Effective Date"), pursuant to which, each two hundred (200) shares of common stock issued and outstanding as of the Effective Date shall be reduced to one (1) share of common stock issued and outstanding; provided that, if as a result of the Reverse Stock Split, fractional shares of the issued and outstanding common stock result, then in such event, the fractional shares shall be rounded up to the next whole share of common stock, so that no fractional shares of common stock will be outstanding after the Effective Date and
B. to change the Company name to "Wasatch Properties, Inc."
The Board of Directors established June 30, 2023 as the record date for voting on such corporate actions.

Kropf gave himself 15 million shares as compensation. And the other 13.4 million went to Jeanette Mower. Both are restricted shares. She basically paid company upkeep fees. And she is also a larger stakeholder in Kropfs other ticker, ALSI, as well. (Kropf does not appear to have any shares in ALSI.)
It would appear that Jeanette Mower is an independent investor going through her LLC. She appears to own a luxury handbag shop in Salt Lake City. Maybe she personally knows Kropf.
Note 4 on the 10/10/22 Quarterly Report States:
NOTE 4 – RELATED PARTY TRANSACTIONS
On February 25, 2022, the Company received a $9,900 loan from O3G LLC (“O3G”), a majority shareholder, for general operating expenses. On June 1, 2022, O3G loaned the Company an additional $3,500. The loans are non-interest bearing and due on demand. On July 30, 2022, O3G converted $13,400 due to them into 13,400,000 shares of common stock.
On April 25, 2022, the Company sold 100,000 shares of Series B Preferred Stock to O3G for total cash proceeds of $10,000.
On May 1, 2022, the Company issued 15,00,000 shares of common stock to Robert Kropf for officer and director services. The shares
were valued at $0.001 per share, for total non-cash compensation expense of $15,000.

My stab at Gorilla math.
“The Company has authorized and designated 21,000 shares of preferred stock as Series A Preferred Stock. The Series A Preferred Stock have 1,000 to 1 voting rights and a liquidation preference of $1.00 per share. The shares were subject to a mandatory redemption on March 31, 2011, which has not occurred as of January 31, 2022 (refer to Note 5).
NOTE 5– SUBSEQUENT EVENTS
In accordance with SFAS 165 (ASC 855-10) management has performed an evaluation of subsequent events through the date that the financial statements were issued and has determined that it does not have any material subsequent events to disclose in these unaudited financial statements.
On March 5, 2022, the Company redeemed the 21,000 of the Series A Preferred Stock from the holder, with an agreement to issue 50,000 shares of common stock following a reverse split of the Company’s common stock.”
So I’m thinking, the P-shares equaled 21m common share votes. Ultra control. The 21k shares are equal to $21k at redemption. Which has been done.
Part of this deal is for 50k post R/S shares. That’s roughly .42 a share. At today’s PPS floating around .20 ignoring the knee jerk sell off that has us lower, are we looking at a simple 2:1 R/S?
Crazy to R/S a 3.5m float. But if it means control has been changed snd the dude gets his $$ by dumping post split, I’m down.
Even if they want to go deep to a 500k float, his 50k dump will have us in the box. I’ll reload @.0001
I see so much of a 50k dump post split, I’ll dump ASAP to help the cause.
I can’t wait to see this pan out.,
Now this is the worse case scenario before Kropf brings in a story.
